This page is a structural draft for solicitor review. It is not final legal advice and must be replaced before launch.
1. About this agreement
Version: 0.1 (draft). Last updated: [DATE].
1.1 This agreement is between [COMPANY NAME], company number [COMPANY NUMBER], registered office [REGISTERED ADDRESS] ("EV Tariffs Compared", "we", "us"), and the business that applies to be listed or holds an installer account ("you").
1.2 It covers your application, your directory listing and profile, your installer account and how you deal with drivers who ask for quotes through the site. The Installer Leads and Credits Terms also apply. If they conflict with this agreement on a point about leads or credits, they take priority.
1.3 You can contact us at hello@evtariffscompared.com.
2. You are acting for your business
2.1 By applying, you confirm that you are acting for the purposes of your trade, business or profession, and not as a consumer.
2.2 The person who accepts this agreement confirms they have authority to bind the business.
3. Applying and our checks
3.1 To apply, you give the information asked for on the application form. This includes your business and contact details, scheme registration body and number, any EV chargepoint grant approval number, postcode, services, areas you cover, the plan you want and confirmation of your public liability insurance. You must also agree to our application checks.
3.2 The requirements to be listed are set out on the Join page when you apply. They currently cover competent person scheme registration, EV chargepoint grant approval where you offer grant-funded work, public liability insurance at the level stated on the Join page, trading history and a published "standard install from" price. At the time of writing, these are: public liability insurance of at least £2 million, at least six months of trading or ten verifiable completed charger installations, and a published "standard install from" price that stays within 15 percent of your final quotes for standard jobs.
3.3 We check the information you give. Checks may include scheme and grant registers, insurance, Companies House, your trading address and photos or references from recent work. We may ask for more evidence. We re-check listed installers every 12 months, and again when your insurance or registration reaches its expiry date.
3.4 We may approve, refuse or delay an application. We will tell you if we refuse, and we will give our reasons in writing. You can ask us to review a refusal by emailing hello@evtariffscompared.com within 30 days of the decision. Where we can, someone who was not involved in the first decision will carry out the review.
3.5 Approval is not an endorsement. We do not guarantee the quality or safety of your work to anyone.
3.6 You must tell us promptly if anything you told us stops being true, for example your registration lapses, your insurance ends or changes, or your business details change.
4. Your listing and profile
4.1 If we approve you, we list your business in the directory and give you an account to manage your profile and leads.
4.2 You are responsible for the information on your profile, including prices, services, photos, areas covered and any logo. It must be accurate, lawful and not misleading, and you must have the right to use everything you upload.
4.3 You give us a non-exclusive, worldwide licence, with no fee payable by us, to display your profile content, name and logo on the site and in related materials while you are listed, for the purpose of operating and promoting the directory.
4.4 Logos appear only on the profiles of installers with an active Featured plan or who have bought credits, and only where we have confirmed you can use the logo. Introductory leads do not count as buying credits. Other installers appear with their name and an initials tile.
4.5 Featured installers are labelled as Featured and may be shown higher in the directory. We will label paid placement clearly.
4.6 We may edit, hide or remove profile content that is inaccurate, misleading, unlawful or breaches this agreement.
4.7 No review scores or star ratings are shown at launch. If we introduce reviews, we will publish review guidelines and update this agreement first, giving you notice under section 11.1.
5. How you deal with drivers
5.1 Any contract for a quote, survey, installation or aftercare is between you and the driver. We are not a party to it.
5.2 You must:
- hold the registrations, approvals and insurance you told us about and keep them valid;
- carry out work with reasonable care and skill, safely, and in line with the law and the relevant standards and wiring regulations;
- comply with consumer law when you deal with drivers, including accurate pricing, clear quotes, any cancellation rights and fair complaint handling;
- not mislead drivers about your registrations, approvals, prices, grants or the work you will do;
- not pressure drivers, and not use their details in a way they would not expect;
- deal with complaints from drivers properly, and help us look into any complaint we receive about you.
5.3 We do not guarantee that any driver will ask you for a quote, accept a quote or pay you. We do not promise any number of requests, any amount of work or any level of earnings. Statements on the site about "potential value" are estimates only.
6. Driver information
6.1 When you accept a request, you receive the driver's personal information. From then, you are a separate controller of that information under the UK GDPR and the Data Protection Act 2018. You are responsible for your own compliance and for giving the driver your own privacy notice.
6.2 You must:
- use the driver's details only to respond to their request, to quote, and to deal with the job and any related legal, accounting or warranty needs;
- not use their details for marketing unless the driver has agreed to it separately, or the law otherwise allows it (for example, the rules on marketing by email and text);
- not sell, share or pass their details to anyone else except where needed to do the job (for example a subcontractor) or where the law requires;
- keep their details secure and delete them when you no longer need them;
- act on a request from the driver to stop using their details, and tell us if a driver tells you they did not consent to be contacted;
- tell us without undue delay if you become aware of a personal data breach involving details we sent you, so that we can respond where appropriate, and in any event within 48 hours of becoming aware of it.
6.3 We keep a record of the driver's consent to share their details. We will give you that record where it helps you answer a complaint or a regulator.
7. Plans, payment and fees
7.1 You can use the Pay as you go option (buying credits) or the Featured plan, as shown when you sign up. Fees and credit packs are shown on your billing page before you pay. There is no minimum term beyond the period you have paid for.
7.2 Payments are taken by Stripe. Stripe's own receipts and invoices show our company details. Card details are held by Stripe and not by us.
7.3 The price shown to you is the total price you pay for that item. We do not add other charges at the point of payment.
7.4 If a payment fails, we may pause lead offers to you until it is resolved. We will tell you.
7.5 We may change fees, credit costs or plans. A change applies to purchases you make after it takes effect and not to a lead offer already issued. We will tell you in advance by email at least 30 days before a change to a plan you are already on takes effect.
7.6 Featured plan cancellation: you can cancel the Featured plan at any time from your billing page or by emailing hello@evtariffscompared.com. The cancellation takes effect at the end of the period you have already paid for, and you keep the Featured benefits until then. We do not refund part of a monthly or yearly period, except where the law requires.
7.7 Credits, introductory leads and credit-back are covered in the Installer Leads and Credits Terms.
8. Complaints and conduct
8.1 We may review a complaint about you, ask for your response and, if we think it is justified, warn you, remove your profile or end this agreement.
8.2 You must not:
- submit, ask others to submit or pay for fake reviews, or reviews that hide that they were rewarded;
- try to avoid the lead system, for example by asking drivers to contact you outside the site so that you do not pay for a request you were offered;
- scrape, copy or harvest site data;
- create several accounts for one business to claim introductory leads more than once;
- interfere with the site or other installers' accounts.
9. Suspension and ending
9.1 You can end this agreement and close your account at any time by emailing hello@evtariffscompared.com, but closing the account does not refund any part of a Featured period you have already paid for (see 7.6).
9.2 We can suspend or end this agreement immediately if you breach it in a serious way, if you stop meeting the listing requirements, if a registration or insurance lapses, if we reasonably suspect fraud, or if the law requires. We can also end it for any other reason on 14 days' written notice. If we suspend or end the agreement for a serious breach, we will tell you the reason in writing, and you can ask us to review the decision by emailing hello@evtariffscompared.com.
9.3 When this agreement ends, your profile is removed from the directory. What happens to unused credits is set out in the Installer Leads and Credits Terms.
9.4 Ending the agreement does not affect rights that have already arisen, or the sections that are meant to continue, including those on driver information, liability and governing law.
10. Our responsibility
10.1 Nothing in this agreement limits or excludes either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited or excluded.
10.2 The directory and lead service are provided with reasonable care and skill. We do not promise the site will be uninterrupted or without errors.
10.3 Subject to section 10.1, we are not liable for loss of profit, loss of business, loss of goodwill or loss of anticipated work, or for indirect or consequential loss. Our total liability to you under or in connection with this agreement is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.
10.4 You are responsible for your work and for your dealings with drivers. You will compensate us for loss, claims and costs we suffer because of your breach of this agreement or your breach of the law in dealing with a driver, to the extent you caused them. Each of us will also compensate the other for loss, claims and costs caused by that party's breach of data protection law in relation to drivers' details.
11. Changes to this agreement
11.1 We may update this agreement, for example to reflect changes in the law or the service. We will tell you by email before a change that affects you takes effect. If you do not agree, you can end the agreement. If you keep using the account after the change takes effect, you accept it. We will give you at least 30 days' notice of a change that is not required by law.
12. General
12.1 This agreement, with the Installer Leads and Credits Terms, our Privacy Policy and the Join page requirements, is the whole agreement between us on this subject.
12.2 You may not transfer your rights or obligations without our written consent. We may transfer ours to a successor of the business.
12.3 If a term is found unenforceable, the rest continues.
12.4 A failure or delay in using a right does not waive it.
12.5 Nothing here makes either of us the partner, agent or employee of the other.
12.6 Notices to us: hello@evtariffscompared.com. Notices to you: the email address on your account.
12.7 This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
